Prep-for-sale

In many cases, digital business sellers approach us to sell, but there are deficiencies that prevent the client from obtaining the valuation they seek. Also, sellers are sometimes interested in planning for a future exit.  In those cases, we offer our Prep-For-Sale service. The PFS service combines an initial valuation, a GAP/growth analysis and expert referrals to support sellers’ goals helping them address deficiencies and grow valuations prior to a planned exit. If the seller chooses to list their business with us after engaging in this service, we credit 100% of the PFS fees paid to the sales commission.

DJC Digital serves sellers of digital businesses by developing a deep understanding of the property, the seller’s objectives and valuation expectations. We prepare a winning prospectus that the investment community expects to see. Using our large database of private investors seeking the opportunity to purchase businesses before they hit the open market, we are able to make better matches more quickly while maintaining a higher level of privacy for the seller.

Buyer representation

Even though we specialize in searching for properties, we are often approached by clients who already have a target company in mind. In those cases, we offer expert buyer representation services. We will be your representative in the transaction and interface with the seller’s broker. We advocate for your position as we negotiate on your behalf and and execute your deal.

We can start at any stage of the transaction and manage the offer, LOI, purchase agreement, escrow, migration, closing and post-closing settlement.

Due Diligence

Investing in digital properties can be a time-sensitive endeavor and exposes the investor to a number of risks specific to the digital investing marketplace.  The ability to confirm web traffic, revenues, and digital assets such as databases is a critical aspect of the due diligence process.  Additionally, every niche has its own unique risks associated with things like competition, inventories and customer attrition.  DJC Digital has deep expertise in performing these diligence processes.
